Welcome to 2WinAI. These Terms of Use (“Terms”) govern your access to and use of 2WinAI's products, services, website at 2winai.com, and mobile applications (collectively, the “Services”). Please read these Terms carefully before using our Services. By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

These Terms include a binding arbitration agreement and class action waiver (Section 12.2) for users in the United States. For users in Vietnam, additional consumer protections under Vietnamese law apply, including the Civil Code 2015, Consumer Rights Protection Law 2010, Cybersecurity Law 2018, and Personal Data Protection Decree 2023. For users in the European Union (EU), rights under the General Data Protection Regulation (GDPR) and Unfair Contract Terms Directive apply.

1. Overview of Services

2WinAI is an AI-powered assistant designed to provide conversational interactions, information retrieval, and financial data insights. Our Services integrate third-party APIs from leading AI providers such as OpenAI, xAI, Google, and other modern providers, along with financial data APIs, image analysis, and payment processing.

The Services are intended for informational and educational purposes only. 2WinAI does not provide professional advice in finance, investment, legal, medical, or any regulated fields. Outputs are generated based on AI models and third-party data, which may contain errors, biases, or inaccuracies. Any reliance on outputs is at your own risk. We strongly advise consulting qualified professionals for important decisions. 2WinAI shall not be liable for any damages arising from use of the Services.

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction (including Vietnam and the United States) to use the Services. By registering an account, you confirm that you meet this requirement, are not barred from using the Services under applicable laws (e.g., U.S. export controls or sanctions, or Vietnam's Cybersecurity Law), and agree to comply with all relevant laws.

3. Account Registration and Security

  • You must provide accurate, complete, and current information when registering.
  • You are responsible for safeguarding your credentials and all activities under your account.
  • You agree not to share your login or allow unauthorized access.
  • You must notify us immediately of suspected unauthorized use at support-2winai@googlegroups.com.

We may suspend or terminate your account for violations of these Terms or applicable laws in Vietnam/the United States, without notice or liability. For Vietnamese and EU users, we will provide notice and an opportunity to respond where required by law.

4. Subscriptions, Billing, and Payments

4.1 Subscription Tiers

2WinAI offers subscription plans (Basic, Premium, Gold) with varying access levels, query limits, and features, including AI queries, financial data retrieval, and image analysis. Details are available on the pricing page at 2winai.com.

4.2 Payments

  • All subscription fees are payable in advance and may include applicable taxes (e.g., VAT for Vietnamese and EU users).
  • Payments are processed securely through PayPal or other approved providers (for Vietnamese users: VNPAY, MoMo, bank transfer). We do not store full payment card details; only transaction references are retained.
  • By subscribing, you authorize us to charge your chosen payment method, including for renewals and taxes.

4.3 Auto-Renewals and Cancellations

  • Subscriptions automatically renew at the end of each billing cycle (monthly basis) unless canceled at least 24 hours before renewal.
  • You may cancel anytime via account settings or by contacting support-2winai@googlegroups.com. Cancellations take effect at the end of the current billing period. Upon cancellation, you may continue using the Services until the end of the current month, but no refund will be provided for the remaining portion, as the service is considered fully provided for that cycle.
  • We reserve the right to cancel immediately without refund if you violate security, privacy, or legal provisions under Vietnamese/U.S. law (including Vietnam's Cybersecurity Law), and you waive any claim for refund.
  • For Vietnamese and EU users, you have a 14-day withdrawal right for digital services under consumer protection laws, subject to consent for immediate access.

4.4 Refunds

All payments are non-refundable, except where required by applicable law (e.g., 14-day withdrawal under Vietnamese or EU law, or demonstrable service failures). We may issue refunds at our discretion for technical issues.

4.5 Billing Disputes

If you dispute a charge, contact us within 60 days at support-2winai@googlegroups.com. For disputes with PayPal, VNPAY, or MoMo, refer to their terms. We reserve the right to suspend access during disputes.

5. Acceptable Use

You agree not to use the Services to:
- Violate any law, regulation, or third-party right (including intellectual property, privacy, U.S. export controls, or Vietnam's Cybersecurity Law regarding fake news or national security),
- Engage in high-risk activities or rely on AI outputs as professional advice (e.g., financial trading without verification),
- Upload malicious code, viruses, or content that exploits vulnerabilities or disrupts systems,
- Reverse engineer, scrape, decompile, or misuse APIs or data,
- Generate, distribute, or promote harmful, abusive, discriminatory, unlawful, or cybersecurity-violating content,
- Impersonate others, spam, or engage in automated abuse.

We reserve the right to monitor usage and suspend or terminate accounts for misuse, without notice for serious violations.

6. Intellectual Property

  • 2WinAI owns or licenses all intellectual property rights in the Services, including software, designs, and AI models.
  • You may not copy, modify, distribute, sell, or create derivative works without prior written consent.
  • You retain rights to content you upload but grant us a worldwide, non-exclusive, royalty-free license to process, store, and use it to provide and improve the Services.
  • Feedback you provide may be used to improve the Services without compensation.

7. Third-Party Services

Our Services integrate with external APIs from leading AI providers. We are not responsible for their reliability, accuracy, availability, or content. Your use is subject to their terms and privacy policies. Interruptions due to third parties or legal requirements (including Vietnam's Cybersecurity Law) do not impose liability on us.

8. AI Outputs and Limitations

  • AI responses may be inaccurate, incomplete, biased, or outdated.
  • Outputs are not guaranteed and should not be used for high-risk decisions (investment, health, legal).
  • We disclaim liability for decisions based on AI. Verify information independently.

9. Disclaimer of Warranties

The Services are provided “as is” and “as available” without any warranties, express or implied, including but not limited to accuracy, reliability, merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be error-free, uninterrupted, secure, or suitable for your needs. For Vietnamese and EU users, this does not affect mandatory statutory warranties under consumer protection laws.

10. Limitation of Liability

To the maximum extent permitted by law:
- 2WinAI and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, data, or business opportunities), even if advised of the possibility.
- Liability for direct damages shall not exceed the amount you paid us in the past 12 months (or $100 if no payment).
- For Vietnamese users, we do not exclude liability for gross negligence, willful misconduct, or mandatory cases under the Civil Code 2015 and Consumer Rights Protection Law 2010.

11. Indemnification

You agree to indemnify, defend, and hold harmless 2WinAI, its affiliates, officers, directors, employees, and partners from any claims, damages, losses, liabilities, or expenses (including attorneys' fees) arising from your misuse of the Services, violation of these Terms, or infringement of third-party rights or Vietnamese/U.S. laws. You shall compensate in full for direct damages caused by your breach.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflicts of law principles. For Vietnamese users, mandatory consumer protection laws of Vietnam (including the Civil Code 2015 and Consumer Rights Protection Law 2010) apply supplementally.

12.2 Dispute Resolution

  • For U.S. users: Disputes shall be resolved through binding arbitration under the American Arbitration Association (AAA) rules in Delaware. You waive the right to class actions or jury trials.
  • For Vietnamese users: Disputes shall be resolved through negotiation. If unresolved, disputes shall be brought to competent courts in Vietnam where 2WinAI is headquartered.
  • For EU users: You may bring claims in your local courts or use alternative dispute resolution (e.g., EU ODR platform at ec.europa.eu/odr). Arbitration is optional.
  • All users: We encourage informal resolution first—contact support-2winai@googlegroups.com. If unresolved after 30 days, proceed to formal resolution.

12.3 Force Majeure

We are not liable for delays or failures due to events beyond our control (e.g., natural disasters, wars, or third-party API outages).

13. Termination

We may suspend or terminate your account if you violate these Terms, with notice where required. Upon termination, you must cease using the Services. Sections 6 (Intellectual Property), 9-12 (Disclaimers, Liability, Indemnification, Governing Law), and 15 (Contact) survive termination.

14. Changes

We may update these Terms at any time without notice. Continued use indicates acceptance.
